AIRCRAFT ACQUISITION

Scope of Services

The Consultant will provide his expertise and assistance to the Client in locating and purchasing an aircraft of the type specified below. If, after a search is conducted, no aircraft of the type specified are located that are for sale, or none of the aircraft located meet federal airworthiness standards, this Agreement may be altered by attaching an addendum specifying a new type of aircraft to be located. No more than three searches will be made under this agreement.

• Consultation time needed to examine different aircraft types and specifications to meet the client’s needs.

• Surveying the market and developing the database of candidate aircraft that meet the client’s needs.

• Once an aircraft is selected, an onsite examination of the aircraft is made by the Consultant and a written professional Appraisal of the aircraft under consideration is provided to the Client.

• Presuming that the Client wishes to pursue the purchase of this aircraft, a title search and copies of all 337s on file with the FAA is provided to the Client by the Consultant. In addition, the Consultant will negotiate and complete an Offer Letter (if needed) and Purchase Agreement for the subject aircraft. The Consultant will open an escrow account for fund transfers. The Consultant will arrange for and supervise the pre-purchase inspection.

• The Consultant will also work with the Client at no additional charge to prepare the following documents as needed for completion of the purchase if no other entity (bank, insurance company, etc.) has an interest in completing the paperwork:

1) FAA Bill of Sale                        2) FAA Registration
